Hello, Me and a partner are planning to form a package promo company. We will first build our business by picking up clients of course. Then forming a package and having our sales reps going around and selling.

We plan to pay our employees in commission. Now I would like to know if it would be better to start with an LLC or Corporation?

The reason why I asking about is because I once worked for a company who did the same thing and always wondered why and how they started with a corporation.

An LLC is a type of corporation. In most places, it simply offers you better protection personally against any debts the business incurs. However, you will need to check with the state law where you are because some states treat an LLC exactly like a C-Corp or S-Corp. Also look into any difference in tax rates. I don’t think there would be any, but it doesn’t hurt to check.

What country or state do you operate, if you don’t mind me asking?

Hiring a lawyer for legal problems can be expensive, but there are websites like LawGuru, FindLaw and other places where you can get free legal advice. I found this website useful - http://www.uelp.org/freelegal.html
